1. Introduction & Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the online platform available at Ownery.com (the “Platform”).

By accessing or using the Platform — including but not limited to creating an account, uploading content, or browsing available listings — you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

The Platform is designed for use by participants in the real estate industry, including but not limited to developer : agents, and agencies. By using the Platform, you represent and warrant that you are accessing it in connection with a business or professional activity and not as a consumer under applicable law.

We may update, modify, or replace these Terms at any time, at our sole discretion. If we make material changes, we will indicate this by updating the “Effective Date” at the top of this page.

Your continued use of the Platform after such changes become effective constitutes your acceptance of the revised Terms.

2. Definitions

For the purposes of these Terms:

• “Platform” means the website located at Ownery.com, as well as any related services, features, technologies, tools, or applications provided now or in the future.

• “User” means any individual or entity who accesses or uses the Platform, including Developers and Agents.

• “Developer” means a User who submits, uploads, or provides information, materials, or listings relating to real estate properties or projects for display on the Platform.

• “Agent” means a User — whether an individual or a legal entity — who accesses listings on the Platform and may generate, download, or share presentations and materials derived from such listings with their clients.

• “User Content” means any data, text, images, documents, files, listings, or other materials submitted or uploaded by a User to the Platform, regardless of format.

• “Client” means an end customer or contact of an Agent, who receives or is presented with information or materials generated through the Platform.

3. Eligibility & Accounts

The Platform is intended for use by individuals or entities engaged in professional activities related to real estate.

By creating an account, you represent and warrant that:

• you are at least 18 years old;

• you have the legal authority to act on behalf of any business or organization you represent (if applicable);

• all information provided during registration is true, accurate, current, and complete.

Users may register different types of accounts, including Developer accounts and Agent accounts. We reserve the right to approve, reject, suspend, or terminate any account at our sole discretion, with or without notice.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security related to your account.

4. User Roles (Developers & Agents)

The Platform provides different functionalities depending on the User role.

Developers
Developers may upload, submit, or provide information related to real estate projects or properties, including but not limited to descriptions, images, documents, pricing, and other related materials.
Developers are solely responsible for the accuracy, completeness, legality, and reliability of all information and materials they submit through the Platform.

Agents
Agents may browse property listings, generate presentations using materials made available on the Platform, and share such presentations with their clients.
Agents act independently and are solely responsible for their interactions with clients, including any representations, advice, or information they provide.

Nothing in these Terms shall be construed as creating any partnership, agency, or joint venture between the Platform and any User.

5. User Content

Users retain ownership of all User Content they upload or submit to the Platform.

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, use, display, reproduce, and distribute such content solely as necessary to operate and provide the Platform.

You represent and warrant that:

• you own or have all necessary rights, licenses, and permissions to upload and share the User Content;

• your User Content does not violate any applicable laws, regulations, or the rights of any third party.

We do not verify, review, or guarantee the accuracy, completeness, legality, or reliability of any User Content. We reserve the right, but have no obligation, to remove, edit, or restrict access to any User Content at our sole discretion.

6. Disclaimer – Real Estate Information & Investment Decisions

The Platform provides access to real estate-related information submitted by Developers and other Users for informational purposes only.

We do not:

• verify, validate, or endorse any property information or materials submitted by Users;

• guarantee the accuracy, completeness, legality, or timeliness of any listings or related content;

• provide real estate, legal, financial, or investment advice.

All decisions related to property purchases, sales, investments, or other transactions are made entirely at your own risk. You are solely responsible for conducting your own due diligence and independent verification before relying on any information available on the Platform.

The Platform does not act as a real estate broker, agent, developer, advisor, or intermediary and does not participate in, facilitate, or mediate any negotiations, agreements, or transactions between Users or their clients.

7. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising out of or related to:

• your access to or use of, or inability to access or use, the Platform;

• reliance on any information, listings, or materials made available through the Platform;

• the conduct, actions, or omissions of Developers, Agents, their clients, or any other third parties;

• any transactions, agreements, or disputes between Users or with third parties.

You use the Platform at your sole risk. The Platform and all content are provided on an “as is” and “as available” basis, without warranties of any kind.

8. Use of the Platform

Users agree to use the Platform solely for lawful purposes and in accordance with these Terms.

You agree not to use the Platform in any manner that could:

• violate any applicable laws, regulations, or contractual obligations;

• infringe or misappropriate the rights of other Users or third parties, including intellectual property, privacy, or publicity rights;

• interfere with, disrupt, damage, or compromise the operation, security, integrity, or performance of the Platform or any connected systems.

We reserve the right to monitor and audit use of the Platform at any time to ensure compliance with these Terms and to take any action we deem necessary in response to violations.

9. Prohibited Activities

Users must not, directly or indirectly:

• upload, post, or provide any false, misleading, deceptive, or inaccurate information;

• impersonate any person, company, or entity, or falsely state or misrepresent your affiliation with any of them;

• use the Platform for any fraudulent, unlawful, harmful, or unethical purpose;

• scrape, harvest, copy, download, or extract data, content, or listings from the Platform without our express written permission;

• attempt to gain unauthorized access to the Platform, its systems, data, or other User accounts;

• upload, distribute, or transmit any viruses, malware, or other harmful or disruptive code;

• use the Platform to create or offer a competing service or to replicate any of its core features, functionality, or user experience, without our prior written consent.

Violation of this section may result in immediate suspension or termination of your account, without notice, and may also subject you to legal liability.

10. Intellectual Property

All intellectual property rights in and to the Platform — including but not limited to the underlying software, design, features, layout, logos, trademarks, branding, and any original content created or provided by us — are and shall remain our exclusive property or the property of our licensors.

Except for the limited right to access and use the Platform in accordance with these Terms, no rights, licenses, or ownership are granted to Users, whether by implication, estoppel, or otherwise.

User Content remains the sole property of the respective Users, subject to the license granted to us under these Terms for the operation of the Platform.

11. Account Suspension and Termination

We may suspend, restrict, or terminate a User’s account at any time, with or without prior notice, if we reasonably believe that:

• the User has violated these Terms or any applicable laws or regulations;

• the User’s conduct poses a security, legal, reputational, or operational risk to the Platform, other Users, or third parties;

• the account has been inactive for an extended period of time.

Users may discontinue use of the Platform and close their accounts at any time.

Termination of an account does not affect any rights, obligations, or liabilities that accrued prior to the date of termination. Certain provisions of these Terms which by their nature should survive termination — including but not limited to Sections 5 (User Content), 6 (Disclaimer), 7 (Limitation of Liability), 10 (Intellectual Property), 13 (Third-Party Links and Services), and 16 (Governing Law and Jurisdiction) — shall remain in full force and effect.

12. Changes to the Platform and Terms

We reserve the right to modify, update, suspend, or discontinue any aspect of the Platform, its features, or content at any time, temporarily or permanently, with or without notice and without liability.

We may also revise these Terms from time to time. Any changes will be effective when published on the Platform or communicated to Users by other reasonable means. Your continued use of the Platform after such changes become effective constitutes your acceptance of the updated Terms.

We do not guarantee the availability, continuity, or timeliness of technical support and may respond to inquiries or resolve issues at our discretion and within reasonable timeframes.

13. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by us. These links are provided for convenience only, and we do not endorse, monitor, or assume any responsibility for the content, policies, or practices of any third parties.

16. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

You agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or your use of the Platform.
